Official Terms & Conditions and No Responsibility Disclaimer

Entry Period: July 30, 2026 – September 14, 2026  |  Winner Announced: September 15, 2026

These Official Terms & Conditions ("Terms") govern the Maui, Hawaii Giveaway (the "Giveaway") sponsored by Makenna Koffee Company ("Sponsor," "we," "us," or "our"). By entering the Giveaway, each entrant ("Entrant" or "you") agrees to be bound by these Terms in full.

1. Sponsor

The Giveaway is sponsored solely by Makenna Koffee Company. This Giveaway is not sponsored, endorsed, administered by, or associated with Instagram or Meta Platforms, Inc. Entrants release Instagram/Meta from any and all liability in connection with this Giveaway.

2. Eligibility

1.    Entrants must have a valid, public Instagram account and must follow @makennakoffee at the time of entry and through the winner selection date.

2.    Participation and eligibility for the Giveaway is limited to legal residents of California and Iowa who are at least 18 years of age and possess a valid ID.

3.    Employees, officers, and owners of Makenna Koffee Company, its affiliates, and their immediate family members (spouse, parents, siblings, children) or household members are eligible to enter or win.

4.    The Giveaway is void where prohibited or restricted by law.

Note: Sponsor reserves the right to verify eligibility and to disqualify any Entrant who does not meet these requirements at any stage of the Giveaway.

3. Giveaway Period

The Giveaway entry period begins on July 30, 2026 and ends on September 14, 2026 at 11:59 PM Pacific Standard Time (the "Entry Period"). Entries received before or after the Entry Period will not be counted.

4. How to Enter

No purchase is necessary to enter or win. A purchase will not increase your chances of winning.To enter the Giveaway during the Entry Period, an Entrant must:

5.    Follow @makennakoffee on Instagram; and

6.    Post one (1) Instagram Story per calendar day that mentions or features Makenna Koffee Company in some form (for example, a photo or video of a Makenna Koffee drink, merchandise, storefront, or product) and tag or mention @makennakoffee. Each post must include the hashtag #MAKENNAHAWAIIGIVEAWAY to disclose the post was incentivised by the giveaway.

 

If you do not have an Instagram account, visit Instagram.com to open a free account. Your Instagram submission must be uploaded in accordance with the Instagram Terms of Use (http://instagram.com/about/legal/terms/).

Each qualifying Story posted counts as one (1) entry. A maximum of one (1) entry per Instagram account, per calendar day, will be counted, regardless of how many qualifying Stories are posted that day. Posting on multiple days during the Entry Period earns additional entries, one per qualifying day. Stories must remain posted and viewable for a minimum of 24 hours to be considered valid. Sponsor reserves the right, in its sole discretion, to disqualify any entry that it determines does not genuinely feature or reference Makenna Koffee Company, or that it believes was submitted through fraudulent, automated, or abusive means. Participants shall be responsible for any applicable charges imposed by their Internet service or data provider.

5. Winner Selection & Notification

7.    On or around September 15, 2026, Sponsor will select one (1) winner by random drawing from all eligible entries (qualifying Stories) received during the Entry Period.

8.    The odds of winning depend on the total number of eligible entries received.

9.    The winner will be notified via Instagram direct message and/or public announcement on the @makennakoffee Instagram account on or shortly after September 15, 2026.

10. The selected winner may be required to respond to the notification and/or verify eligibility within fourteen (14) days of receipt of notification. If the selected winner cannot be reached, does not respond within the specified timeframe, or is found to be ineligible, Sponsor reserves the right to disqualify that entrant and select an alternate winner by random drawing from the remaining eligible entries.

 

Verification of Grand Prize Winner:  The Grand Prize Winner must comply with terms and conditions of the Giveaway and the Grand Prize Winner’s participation is contingent upon fulfilling all conditions precedent set forth herein. The Grand Prize Winner may be required to provide the Sponsor with documentation that shows participation eligibility including, but not limited to, providing the Sponsor proof of valid ID, age, and/or residency.

 

ADDITIONAL PRIZE CONDITIONS: By accepting the Prize, the Winner agrees to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Prize. The potential Winner must sign and return to the Sponsor, within fourteen (14) days of the date of notice or attempted notice, an Affidavit of Eligibility, Liability & Publicity Release in order to claim the Prize. 

Note: The Affidavit sent to the potential Winner will require that the Winner provide their Social Security Number to the Administrator, which will be used solely for tax reporting purposes. The Winner will be responsible for all local, state, and federal taxes associated with the receipt of the Prize. The Winner must note that the value of the accepted Prize is taxable as income. The Winner is solely responsible for all matters relating to the Prize after it is awarded. The Winner is advised to consult with a tax professional.

 

6. The Prize

The prize consists of the following, provided at Sponsor's sole expense up to the maximum amounts stated below (the "Prize"):

•      A trip to Maui, Hawaii consisting of four (4) nights and five (5) days.

•      Up to a combined maximum of $4,500 USD toward round-trip flight(s) to Maui and hotel accommodations. The Winner has sole discretion over how this amount is allocated between flight and hotel costs (for example, more toward the hotel and less toward flights, or vice versa), provided the combined total does not exceed $4,500.

•      Once the winner has selected their flight(s) and hotel, and is ready to book, Sponsor will pay for the booking(s) directly, up to the $4,500 combined maximum. Any cost exceeding $4,500 is the sole responsibility of the Winner and must be purchased separately by the Winner at their sole discretion. 

•      $1,000 USD sent via Zelle or check, provided for the winner's discretionary spending during the trip.

 

6.1 Guests

There is no restriction on who may accompany the winner on the trip, and no limit on the number of guests. The winner may travel alone or bring as many guests as they choose. However, the Prize value described above ($4,500 toward flight/hotel and $1,000 for spending) is fixed and will not increase based on the number of guests. Any additional costs associated with guests — including but not limited to additional airfare, additional lodging costs, activities, meals, or incidentals — are the sole responsibility of the Winner and/or their guests.

6.2 Booking & Payment Process

The Winner is responsible for selecting and identifying their preferred flight(s) and hotel. Once the winner confirms their selections and is ready to finalize payment, Sponsor will process payment ("run the card") for those selections directly, up to the combined $4,500 maximum. Sponsor is not responsible for flight or hotel availability, pricing changes, cancellations, or booking errors once selections have been made. The Winner must complete the booking process with the Sponsor either in person or through a live video conference using a mutually agreed-upon platform, such as FaceTime, Zoom, or Google Meet. During the booking session, the Winner must provide the Sponsor with the Winner’s desired travel dates, flight times, airline, and hotel accommodations. After processing the payment, the Sponsor will provide the Winner all necessary travel items and information (including but not limited to, flight details, tickets, and hotel confirmation).

The winner must provide the final airfare and hotel selections to Sponsor sufficiently in advance for Sponsor to complete the bookings, and in all cases no later than January 15, 2027 at 11:59pm PST. Failure to submit complete, bookable selections by January 15, 2027, may result in forfeiture of the prize.

6.3 Prize Restrictions

•      The Prize is non-transferable and no substitution will be made except at Sponsor's sole discretion.

•      The Prize (or any unused portion of it) has no cash equivalent value and may not be redeemed for cash, except for the $1,000 spending allowance specifically described above. The $4,500 airfare-and-hotel allowance and the $1,000 spending allowance are components of a single, combined prize and may not be claimed separately. The winner may not receive the $1,000 spending allowance unless the winner demonstrates a good-faith intent to use the airfare-and-hotel portion of the prize and submits complete, bookable flight and hotel selections to Sponsor by January 15, 2027.

If the winner declines, abandons, or forfeits the airfare-and-hotel portion of the prize, the winner will also forfeit the $1,000 spending allowance. No portion of the prize may be redeemed separately or substituted for additional cash.

•      Travel must be completed by a mutually agreed date; blackout dates or seasonal restrictions may apply to flight and hotel availability.

•      The winner is solely responsible for any taxes associated with the Prize. Sponsor may issue a Form 1099-MISC or equivalent tax documentation as required by law. The Fair Market Value (FMV) of the Winnings must be disclosed on Form 1099-MISC as “Other Income”. 

•      Any travel document requirements (valid photo ID, passport if applicable, etc.) are the sole responsibility of the winner and any accompanying guests.
 

6.4 Hotel Credit Card Authorization & Incidentals

As part of the hotel booking process, the winner is required to complete and submit a credit card authorization form provided by the hotel prior to arrival, authorizing the hotel to charge Sponsor's card for the room and applicable taxes/fees.

Sponsor's payment covers the hotel room rate (and associated taxes/resort fees included in that rate) only.

• Sponsor does not cover incidentals of any kind, including but not limited to room service, minibar charges, parking, spa services, phone charges, Wi-Fi upgrades, or other add-on charges billed to the room.

• Sponsor does not cover any damage caused to the hotel room or property during the winner's (or their guests') stay. Any such damage charges are the sole financial responsibility of the winner.

• The hotel may still require a credit card, debit card, or cash deposit directly from the winner at check-in to cover incidentals and/or potential damages, per that hotel's own policy. This requirement is set by the hotel, not Sponsor, and Sponsor is not responsible for it.

• The winner is responsible for settling any incidental or damage charges directly with the hotel prior to or at check-out.

7. General Conditions

11. Sponsor reserves the right to cancel, suspend, modify, or extend the Giveaway, or these Terms, at any time and for any reason, including if it believes the Giveaway is compromised by fraud, technical failure, or any other factor beyond Sponsor's reasonable control.

12. Sponsor reserves the right to disqualify any Entrant it believes, in its sole discretion, to be tampering with the entry process, violating these Terms, acting in an unsportsmanlike or disruptive manner, or attempting to interfere with the Giveaway in any way.

13. By entering, Entrants grant Sponsor permission to use their Instagram username, publicly posted content, and likeness (if selected as winner) for promotional and marketing purposes related to the Giveaway, without additional compensation, except where prohibited by law.

14. Sponsor reserves the right to feature the winner's trip content (photos, videos, Stories, testimonials) shared publicly on social media, for promotional purposes, with credit to the winner's account where applicable.

 

8. No Responsibility Disclaimer

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS SPONSOR'S RESPONSIBILITY IN CONNECTION WITH THE GIVEAWAY AND THE PRIZE.

8.1 Scope of Sponsor's Responsibility

Makenna Koffee Company's sole financial responsibility under this Giveaway is limited to: (a) payment of up to $4,500 combined toward the winner's selected flight(s) hotel accommodations, and (b) provision of $1,000 in cash for spending money. Sponsor is not responsible for, and will not pay for, any cost, expense, fee, or item not expressly identified above, including but not limited to: baggage fees, travel insurance, rental cars, transportation to/from airports, meals, activities, excursions, gratuities, resort fees, incidental hotel charges, guest expenses, or any other cost associated with the trip. The Winner may elect to use all or any portion of the $1,000 cash prize toward the rental or use of a vehicle; however, the cash prize is awarded directly to the Winner, and Makenna Koffee will not arrange, reserve, rent, operate, insure, or take possession of any vehicle on the Winner’s behalf.

The Winner is solely responsible for satisfying all rental-company requirements, possessing a valid driver’s license, obtaining appropriate insurance coverage, reviewing and complying with the rental agreement, and paying all related costs, including deposits, fuel, tolls, parking charges, taxes, fees, fines, deductibles, and repairs.

To the fullest extent permitted by applicable law, Makenna Koffee is not responsible for any accident, collision, theft, loss, property damage, personal injury, death, insurance claim, traffic violation, rental dispute, or other liability arising from or related to the rental, possession, operation, or use of any vehicle by the Winner or any other person. Nothing in these Official Rules excludes or limits liability that cannot lawfully be excluded or limited.

8.2 Assumption of Risk & Release of Liability

The winner and any accompanying guests voluntarily and freely choose to participate in the trip described in this Giveaway. Travel involves inherent risks, including but not limited to risks related to transportation, lodging, recreational activities, weather, illness, injury, loss or theft of property, and other unforeseen circumstances.

To the fullest extent permitted by law, Makenna Koffee Company, its owners, officers, employees, and affiliates are not responsible or liable for any injury, illness, death, loss, damage, delay, accident, or any other harm to persons or property arising out of or in connection with: (a) participation in the Giveaway; (b) acceptance, use, or misuse of the Prize; (c) travel to, from, or within Maui, Hawaii; or (d) any activity, decision, or event occurring during the trip.

The winner assumes full and sole responsibility for any decisions made before, during, and after the trip, including but not limited to decisions regarding travel arrangements, activities, guests, conduct, and safety. Sponsor is not liable for the acts, omissions, or conduct of any winner, guest, third-party vendor (including airlines, hotels, or activity providers), or any other person or entity involved in the trip.

8.3 No Warranty

The Prize is provided "as is" with no warranty, express or implied, by Sponsor, including as to the quality, safety, or suitability of any flight, hotel, or related service booked in connection with the Prize. Any disputes regarding travel bookings (such as flight delays, cancellations, or hotel issues) must be resolved directly between the winner and the applicable airline, hotel, or vendor.

8.4 Indemnification

By accepting the Prize, the winner agrees to indemnify and hold harmless Makenna Koffee Company, its owners, officers, employees, and affiliates from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to the winner's or any guest's participation in the Giveaway or use of the Prize.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Sponsor's total liability to any Entrant or winner arising out of or related to this Giveaway exceed the total value of the Prize actually provided by Sponsor ($4,500 for flight/hotel plus $1,000 spending). Sponsor shall not be liable for any indirect, incidental, consequential, special, or punitive damages of any kind.

10. Privacy

Information collected from Entrants (such as Instagram usernames and contact information provided for winner verification) will be used solely for purposes of administering this Giveaway, including winner selection, notification, and prize fulfillment, and will not be sold to third parties.

11. Publicity Rights:  By participating in this Sweepstakes, each entrant agrees to allow the Sponsor and Sponsor’s designee the perpetual right to use his/her name, address (city and state), biographical information, likeness, picture and other information and content provided in connection with the Sweepstakes for promotion, trade, commercial, advertising and publicity purposes in all media worldwide including, but not limited to, on television and the Internet, without notice, review or approval and without additional compensation, except where prohibited by law.

12. Disputes & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which Sponsor is headquartered, without regard to conflict-of-law principles. Any disputes arising out of or relating to this Giveaway shall be resolved in the state or federal courts located in that jurisdiction, and Entrants consent to the personal jurisdiction of such courts.

 

Participation in the Giveaway constitutes an Entrant's full and unconditional agreement to these Terms and Sponsor's decisions, which are final and binding in all matters relating to the Giveaway.
